Terms of Service
Last updated: [DATE]
1. Who these terms are with
These Terms of Service ("Terms") are between you ("you", "your organisation") and [COMPANY LEGAL NAME], registered at [REGISTERED ADDRESS] ("we", "us"), and govern your use of Circla and Matterpass/Voltpass (the "Service"). By creating an account or paying to anchor a product, you agree to these Terms.
2. What the Service is
The Service lets you build, publish, and host EU Digital Product Passports and statutory e-labels for your products. It gives you tools to enter compliance data and generate label content; it does not replace your own legal or regulatory obligation to ensure that content is accurate and compliant. Where the Service uses AI to draft translations or extract data from your source documents, that output is a draft — you are responsible for reviewing it before publishing a label.
3. Your account & content
You are responsible for the accuracy of the product and compliance data you enter, for keeping your account credentials secure, and for any activity under your account. You retain ownership of the content you upload; you grant us a licence to host, process, and publicly serve it as needed to operate the Service (for example, on a published label page or a custom domain you configure).
4. Payments
Anchoring (publishing) a product is a one-time paid action per product, processed by Stripe. Prices are shown at checkout. [ADD REFUND POLICY — e.g. no refunds once a product has been anchored, since this triggers permanent hosting of that passport version].
5. Availability & changes
We aim to keep the Service available but do not guarantee uninterrupted access. We may update or discontinue features with reasonable notice, except where required sooner for security or legal reasons.
6. Termination & data on exit
You may close your account at any time from account settings. We may suspend or terminate accounts that violate these Terms or applicable law. On termination, published passports for already-anchored products [DEFINE BEHAVIOUR — e.g. remain live for their statutory retention period / are taken down after N days], consistent with our obligation to keep statutory product information available.
7. Liability & disclaimers
The Service is provided "as is". [ADD LIABILITY CAP AND DISCLAIMER LANGUAGE APPROPRIATE TO YOUR JURISDICTION]. Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Governing law
These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law principles.
